2. Definitions

Buyer: A business registered on the Marketplace seeking exclusive qualified leads.
Lead: Information about a potential customer that may be interested in a Buyer's products or services.
Exclusive Qualified Lead: A Lead that meets specific criteria established by a Buyer and is sold to only one Buyer.
Seller: The designated lead generation service provider on the Marketplace.
Transaction: The purchase of an Exclusive Qualified Lead by a Buyer from the Seller on the Marketplace.

3. Use of the Marketplace

3.1. Buyers:

Buyers must be registered businesses with a valid account on the Marketplace.
Buyers are responsible for buying based on criteria for Exclusive Qualified Leads within their account.
Buyers are responsible for following up on all purchased Leads in a timely manner.

3.2. Seller:

The Seller is the designated lead generation service provider on the Marketplace.
The Seller is responsible for accurately describing their lead generation services and the types of Leads they provide.
The Seller must ensure all Leads comply with applicable laws and regulations, including data privacy laws.
The Seller is responsible for fulfilling their lead generation service commitments to Buyers.

4. Transactions

4.1. Lead Purchase:

Buyers can purchase Exclusive Qualified Leads from the Seller through the Marketplace using the designated payment methods.
Marketplace fees may apply to Transactions.

4.2. Lead Quality:

The Seller warrants that Leads provided are accurate and meet the Buyer's established criteria for Exclusive Qualified Leads based on the sales description.
Buyers may not dispute the quality of a Lead if it does not meet their criteria, as the criteria is established in the sales description.

5. Exclusivity

The Seller is the exclusive provider of lead generation services on the Marketplace.
Buyers understand that no other seller options are available on the Marketplace.

6. Disclaimers and Limitations of Liability

The Marketplace is a platform connecting Buyers with the Seller. The Marketplace does not guarantee the quality or outcome of any Lead generation service.
Buyers are solely responsible for evaluating the suitability of Leads for their purposes.
The Marketplace is not liable for any damages arising from interactions between Buyers and the Seller.

7. Dispute Resolution

Any dispute arising from these Terms will be subject to binding arbitration in accordance with the rules of the American Arbitration Association.

8. Termination

The Marketplace may terminate your account for violation of these Terms.
You may terminate your account at any time. Termination of your account will also terminate your ability to purchase Leads from the Seller on the Marketplace.

9. Governing Law

These Terms will be governed by and construed in accordance with the laws of the State of Florida.

10. Entire Agreement

These Terms constitute the entire agreement between you and the Marketplace regarding your use of the platform.

11. Modifications

The Marketplace reserves the right to modify these Terms at any time. We will notify you of any changes.
